This Service Agreement ("Agreement") is entered into between OOTW, Inc. dba InOut Labs, hereinafter referred to as the "Service Provider," and Employer, hereinafter referred to as the "Employer," collectively referred to as the "Parties," for the purpose of managing the Federal Motor Carrier Safety Administration (FMCSA)-regulated employees' Driver Qualification Files (DQFs).
Scope of Services The Service Provider agrees to manage, update, and maintain the Employer's FMCSA-regulated employees' Driver Qualification Files in compliance with FMCSA regulations and guidelines. The Services provided under this Agreement shall include, but are not limited to:
- Reviewing and collecting necessary documents for DQFs.
- Verifying driver qualifications and records as required by FMCSA.
- Managing and storing DQF documents securely.
- Providing necessary reports and documentation to the Employer for compliance purposes.
Responsibilities of the Service Provider The Service Provider shall perform the following duties:
- Maintain a secure and confidential record-keeping system for DQFs.
- Review and verify the accuracy of all documentation submitted for DQFs.
- Notify the Employer of any missing or expired documents for DQFs.
- Pull MVRs 15 days after medical recertification
- Provide timely reports and updates to the Employer regarding DQF status.
- Conduct annual reviews and updates of DQFs to ensure ongoing compliance.
- Conducting annual reviews and updates of DQFs
Responsibilities of the Employer The Employer shall provide the following:
- Timely submission of all required documentation and information for DQFs.
- Notification to the Service Provider of any changes in driver status or employment.
- Cooperation and assistance as needed to ensure accurate and up-to-date DQFs.
- Payment of fees as described in Fees Section below.
Fees The Employer agrees to pay the Service Provider a monthly fee for the management of DQFs. The fee structure shall be outlined in a separate fee schedule provided by the Service Provider. Fees are due within 15 days of receipt of an invoice from the Service Provider.
Term and Termination This Agreement shall commence on the date entered above, and shall continue until terminated by either Party with 30 days' written notice. Either Party may terminate this Agreement for material breach of its terms by the other Party.
Confidentiality Both Parties agree to maintain the confidentiality of all information obtained during the course of providing and receiving services under this Agreement.
Governing Law This Agreement shall be governed by and construed in accordance with the laws of the state of Illinois, without regard to its conflict of laws principles.
Entire Agreement This Agreement contains the entire understanding between the Parties and supersedes all prior agreements, understandings, or representations, whether oral or written.
Amendments Any amendments to this Agreement must be made in writing and signed by both Parties. IN WITNESS WHEREOF, the Parties hereto have executed this Service Agreement as of the Effective Date.
